Legal and Policy Guidelines

1.     Intellectual Property Rights: Baacumen clearly states the ownership of course content and its usage rights as follow.

·        Ownership of Content: Instructors retain ownership of their original content. This includes videos, written materials, graphics, and any other educational resources they create for their courses.

·        Licensing to the Platform: While instructors own their content, they typically grant the platform a license to use, distribute, and promote the courses. This license is usually non-exclusive, allowing instructors to use their content elsewhere. The specifics of this license, such as duration and scope, should be clearly outlined in the terms of service or instructor agreement.

·        Control over Course Updates and Availability: Instructors should have the right to update, modify, or withdraw their courses from the platform as per their discretion, subject to any notice period or terms agreed upon with the platform.

·        Protection Against Unauthorized Use: The platform should take reasonable steps to protect the instructors' content from piracy and unauthorized use. This may include technological measures and enforcing policies against users who infringe IPR.

·        Revenue from Derivative Works: If an instructor creates derivative works based on their original course (like a revised edition, spin-off courses, or related educational material), they should retain ownership and control over these works.

·        Responsibility for Content: Instructors are typically responsible for ensuring their content does not infringe on others’ IPR and adheres to legal standards. The platform might include indemnification clauses to protect itself against potential IPR infringement by instructors.

·        Negotiable Rights in Special Cases: There might be special agreements or negotiations for high-value courses or well-known instructors, where terms can differ from standard policy.

·        Use of Platform’s Resources: If instructors use any resources or tools provided by the platform (like templates or interactive modules), the terms regarding the ownership of content created using these resources should be clear.

2.     Quality Control: Implement standards for course content to ensure quality, which can impact revenue potential.

As part of our commitment to excellence at Baacumen, we are dedicated to maintaining the highest standards of quality for our courses. This involves a comprehensive approach to ensure the educational content is not only informative but also engaging and accessible.

Key Quality Standards Include:

·        Rigorous Course Content Review: We have implemented a stringent review process for all courses. This involves evaluations by subject matter experts to ensure the content is accurate, relevant, and up to date.

·        Qualified Instructors: Our instructors are carefully selected based on their expertise and teaching experience. We believe that knowledgeable instructors are fundamental to learning experience.

·        Structured and Interactive Course Design: Our courses are designed with clear objectives and a logical structure. We incorporate interactive elements like quizzes and practical exercises to facilitate a deeper understanding of the subject matter.

·        High Technical Quality: We ensure all courses meet our technical standards, including high-quality video and audio, ensuring a seamless and engaging learning experience.

·        Student Feedback System: We value student feedback and have a robust system in place for course ratings and reviews. This feedback is crucial for continuous improvement.

·        Continual Course Updates: The rapidly evolving nature of many subjects necessitates regular updates to our course content, ensuring our learners have access to the most current information.

·        Accessibility Compliance: Accessibility is a priority, and we strive to make our courses inclusive for all learners, including those with disabilities.

·        Adherence to Educational Best Practices: All courses comply with established educational standards and best practices in online learning.

·        Support for Instructors: We offer extensive support and resources to our instructors, aiding them in enhancing their teaching skills and course materials.

·        Regular Student Satisfaction Surveys: We conduct periodic surveys to understand student experiences, ensuring we meet and exceed their learning expectations.

These quality control measures are integral to our mission of providing top-tier educational content. We are committed to fostering an enriching and effective learning environment for all our students.

2.     Transparency: Transparency in Revenue Calculation at Baacumen

At Baacumen, we prioritize transparency in our revenue sharing model to ensure that our instructors clearly understand how their earnings are calculated. Here’s how we maintain this transparency:

·        Clear Revenue Sharing Model: We provide detailed explanations of our revenue sharing percentages for different scenarios, including instructor-led sales, platform-led sales, and promotional events.

·        Detailed Earnings Reports: Instructors have access to comprehensive earnings reports through their dashboard. These reports break down earnings by course, showing the number of sales, the revenue generated, and the corresponding share due to the instructor.

·        Real-Time Tracking: Our platform offers real-time tracking of sales and earnings. Instructors can monitor their course performance and earnings as they happen, providing immediate insight into their financial success.

·        Explanation of Deductions: Any deductions or adjustments, such as refunds, chargebacks, or platform fees, are clearly itemized in the earnings reports. This ensures instructors understand exactly what is being deducted and why.

·        Regular Updates: Instructors are kept informed about any changes to the revenue sharing model or calculation method through emails, newsletters, and updates on the instructor portal.

·        Accessible Support: We offer dedicated support to answering any questions instructors may have about their earnings or the revenue calculation process. This can be accessed via email, phone, or a dedicated chat service on the platform.

·        Educational Resources: Baacumen provides resources, such as tutorials and webinars, to help instructors understand the nuances of the revenue sharing model and maximize their earnings.

·        Feedback Mechanism: Instructors can provide feedback on the revenue calculation method, and we actively use this feedback to improve and refine our processes.

By maintaining transparency at every stage of the revenue calculation and sharing process, we ensure that our instructors can trust and feel confident in their partnership with Baacumen.

3.     Contract Duration and Termination:

At Baacumen, we establish clear guidelines for the duration of contracts and the terms for their termination or policy changes to ensure a transparent and fair relationship with our instructors:

Contract Duration:

·        Each instructor’s contract with Baacumen is valid for a standard duration of 2 years or 24 months from the date of agreement.

·        The contract automatically renews unless either party expresses an intent not to renew it 45 days before the expiration.

Early Termination by Instructor:

·        Instructors may terminate their contract before the expiry date by providing a written notice 30 days in advance.

·        Upon early termination, instructors are required to fulfill any ongoing course commitments unless mutually agreed otherwise.

Termination by Baacumen:

·        Baacumen reserves the right to terminate a contract with an instructor in case of breach of policies, misconduct, or failure to meet quality standards, with immediate effect.

·        Instructors will be notified in writing in case of such termination, detailing the reasons for the decision.

Policy Changes:

·        In case of significant policy changes affecting the contract terms, instructors will be notified 30 days in advance.

·        Instructors will have the option to accept the new terms or terminate the contract considering the changes.

Post-Termination Obligations:

·        After termination, instructors must settle any outstanding obligations. Likewise, Baacumen will process any pending revenue payments due to the instructor as per the revenue sharing policy.

·        Instructors will lose access to their instructor account and resources on Baacumen upon the completion of the termination process.

Transition Assistance:

·        In the case of contract termination, Baacumen will assist in the smooth transition of courses and students to ensure minimal disruption.

Dispute Resolution:

·        In case of disputes relating to contract termination, Baacumen’s standard dispute resolution process will apply.

These terms are designed to protect both the interests of Baacumen and the dedicated instructors who contribute to our learning community. For further clarification or specific queries regarding contract terms, please contact our legal support team.

4.     Tax Considerations: Tax Considerations for Baacumen and Our Instructors

As we continue to grow and serve a diverse community of learners and educators, it's important to address the tax obligations for both Baacumen and our esteemed instructors. We are committed to ensuring compliance with tax laws and providing clarity on tax responsibilities.

·        Platform Tax Responsibilities: As Baacumen, we are responsible for our corporate tax obligations. This includes taxes related to our operations, revenue, and any other applicable financial activities. We are committed to full compliance with the tax regulations in the jurisdiction where we operate.

·        Instructor Tax Obligations: Instructors on our platform are independent contractors and are responsible for their own tax obligations. This includes reporting income earned from courses on Baacumen and paying appropriate taxes according to the laws of their respective countries or regions.

·        Withholding Taxes: Depending on the laws of the country in which the instructor resides, Baacumen may be required to withhold taxes from payments made to instructors. In such cases, we will provide instructors with the necessary documentation for their tax records.

·        Tax Documentation: Instructors are encouraged to provide any required tax information or documentation, such as tax identification numbers, to facilitate accurate tax processing and compliance.

·        International Tax Considerations: For instructors residing outside of our operating country, it's important to be aware of any tax treaties that may exist between their country and ours. This could affect how their earnings are taxed.

·        Reporting Income: We advise all instructors to maintain accurate records of their earnings from our platform. This is crucial for correctly reporting income during tax filings.

·        Seek Professional Advice: We strongly recommend that instructors seek advice from a qualified tax professional to understand their individual tax responsibilities. Tax laws can be complex, especially for those who are working internationally or in multiple jurisdictions.

·        Updates on Tax Laws: We will strive to keep our instructors informed of any significant changes in tax laws that may affect their earnings. However, the responsibility to stay informed and compliant with the current tax laws lies with each instructor.

·        VAT and Sales Taxes: Baacumen handles the collection and remittance of any applicable VAT or sales taxes on course sales. The displayed prices for courses may include these taxes, where applicable.

·        Transparency and Support: We are committed to transparency and support in all matters related to taxation. Our support team is available to assist with any tax-related inquiries from our instructors.

At Baacumen we understand the importance of tax compliance and are dedicated to facilitating a smooth process for both our platform and our instructors. We appreciate the commitment of our instructors in maintaining their tax responsibilities and are here to support them in this process.

5.     Cancellation Policy at Baacumen

In our pursuit to provide a flexible and fair learning environment at Baacumen, we have established a clear cancellation policy for both instructors and students. This policy is designed to protect the interests of all parties involved and ensure a smooth operational process.

1.     Instructor Course Cancellation:

·         Instructors have the right to cancel a course prior to its start date. We request that instructors provide a notice of cancellation at least 15 business days in advance.

·         In the event of a course cancellation by an instructor, enrolled students will be notified immediately and will receive a full refund.

·         Revenue sharing will not apply to cancelled courses, and instructors will not receive any payment for courses that are not conducted.

2.     Student Enrollment Cancellation:

·         Students can cancel their enrollment in a course within 3 days of registration for a full refund, provided the course has not yet started.

·         For cancellations after the course has started, a prorated refund may be issued depending on the percentage of the course covered at the time of cancellation.

·         If a student cancels their enrollment after the 5 days period, no refund will be issued.

3.     Implications on Revenue Sharing:

·         In cases where a student cancels their enrollment and is eligible for a refund, the corresponding revenue share to the instructor will be adjusted to reflect this cancellation.

·         For courses cancelled by instructors, no revenue share will be allocated as the course did not commence.

4.     Emergency Cancellations:

·         In extraordinary circumstances, such as emergencies or unforeseen events, both instructors and students may cancel participation with immediate effect. Such cases will be reviewed on an individual basis, and we will strive to ensure a fair resolution.

5.     Notification of Cancellation:

·         All cancellations must be communicated through Baacumen’s official channels. This ensures proper documentation and processing.

6.     Re-Scheduling Options:

·         Instructors who need to cancel a course may be given the option to reschedule it to a later date instead of outright cancellation. This should be coordinated with our support team.

7.     Effect on Ratings and Reviews:

·         Frequent cancellations by an instructor may impact their rating and ability to offer future courses on the platform. We encourage instructors to commit to their course schedules responsibly.

8.     Policy Updates:

·         Baacumen reserves the right to update this cancellation policy as necessary. All stakeholders will be notified of any changes.

By adhering to this policy, we aim to maintain a respectful and considerate environment for both our instructors and students. Your cooperation in following these guidelines is greatly appreciated. For any questions or clarifications regarding our cancellation policy, please do not hesitate to contact our support team.

6. Cancellation Policy for Live Classes at Baacumen

Recognizing the unique nature of live classes and the pre-registration by students, we have established specific guidelines for the cancellation of these classes:

1.     Instructor Cancellation of Live Classes:

·         Instructors are required to notify Baacumen and the enrolled students of the cancellation at least 30 days before the scheduled live class.

·         If an instructor cancels a live class within 20 days of its scheduled date, they may be subject to penalties or restrictions on future course offerings, unless the cancellation is due to emergency or unavoidable circumstances.

·         In such emergency cases, the instructor is encouraged to provide as much notice as possible and, if feasible, offer an alternative date for the live class.

2.     Refunds for Live Class Cancellations:

·         Students pre-registered for live classes that are cancelled by the instructor will receive a full refund.

·         The refund will be processed automatically, and students will be notified of the cancellation and refund via email.

3.     Impact on Revenue Sharing:

·         Instructors will not receive revenue sharing for cancelled live classes. If the cancellation occurs after the revenue has been disbursed, adjustments will be made in the subsequent payment cycle to correct this.

4.     Student Cancellation of Live Class Enrollment:

·         Students can cancel their enrollment in a live class up to 3 days before the scheduled date for a full refund.

·         Cancellations after this period may not be eligible for a refund due to the preparation and seat reservation involved in live classes.

5.     Rescheduling by Instructors:

·         Instead of cancelling, instructors are encouraged to reschedule live classes wherever possible. Instructors should communicate the new date and time to the students and Baacumen as soon as possible.

·         Students pre-registered for the original live class will have the option to attend the rescheduled session or request a full refund if the new date is not convenient.

6.     Notification of Changes:

·         Any changes, including cancellations and reschedules, must be communicated to baacumen and the enrolled students through the official channels to ensure proper documentation and processing.

7.     Feedback and Support:

·         We welcome feedback from both instructors and students regarding our live class cancellation policy. Our support team is always available to assist with any concerns or queries.
